About
We read the bank statement.
Most diligence starts with what management chose to show. Ours starts with what the bank, the tax authority and the registrar already hold.
The problem
A data room is a curated exhibition. It is assembled by the people who need the deal to close, reviewed by people paid by the hour, and read by a committee with one week. Nothing in that chain is dishonest. Nothing in it is independent either.
The fix
The records that disagree with the story are usually public, or one consent away. A bank statement does not edit itself after the deck is sent. We go and get them, set them against the books, and tell you where the two part company.
Where we sit
Not another way to do the same job.
| A large advisory red-flag report | A boutique or in-house associate review | A bureau or data-vendor report | An AI data-room tool | Kubr | |
|---|---|---|---|---|---|
| Starts from | Documents management supplied | The data room, and calls with management | One database: a credit file, a registry feed | The data room, uploaded | The records themselves: bank, tax, registry, courts, with the company's consent |
| What stands behind a figure | Management's file, tested by sampling | Management's word and the reviewer's judgement | A score or a field, with no workings | The document, read faster | A tag on every figure: pulled from source, supplied by the company, or in conflict |
| What lands on your desk | A narrative memo, signed | A memo in the house style | A report or a number | A summary and a chat window | A reconciliation workbook, a source pack and an exceptions log |
| Opinion | Often, with sign-off | Yes | A score | None | None. We state what we found and what we could not see |
| Time | Weeks | One to three weeks | Instant | Hours | 2 to 5 Business Days from a complete data set |
| Fee | Hours at a rate, billed after | Hours at a rate | Per report | Per seat | Fixed, set by the size of the deal, quoted before work starts |
| Independence | Often engaged by one side, sometimes advising on another part of the same deal | Varies | Not in question | Not in question | Fee does not depend on the deal closing or on what we find |
| Where it is weak | Small deals, speed, cost | Depth, bandwidth in a busy week | Private companies, nuance | A forged or edited document is read as given | Valuation views, legal opinions, anything that needs a licence |
Typical patterns across the market, not a statement about any one firm. Many of these providers are good at what they do. They answer a different question.
Source first
A figure from the bank outranks a figure from the deck. Every line in a report says which one it is.
Limits in writing
Every report lists what we could not see. A stated gap is worth more than a confident guess.
Paid the same either way
Our fee does not depend on the deal closing, or on what we find. We take nothing for introductions.
A name on every report
Software drafts and cross-checks. An analyst reviews every flag, puts a name on the report and answers for it.
Our methodWhat we show, and what we keep
Shown openly
What each check asks. What a report contains, field by field. Which kinds of record we read. What a report cannot see. A sample report.
Kept private
How we match one company across messy records. The thresholds that raise a flag. How we weigh peers. Source-to-field mappings and tooling.
Protected by terms
Reports are licensed to the named client and marked to it. No scraping, resale, benchmarking or use to train models. We may check how our data is used against our own records.
Why copying the route is not enough
Anyone can learn which registers exist. The hard parts are getting company consent to work in practice, matching one company across messy records, thresholds tuned on real failures, analyst review, and a dated history of what each record said and when.
